01Agreement
These Terms of Service (the "Terms") form a binding agreement between you and RepoDigest, Inc. ("RepoDigest," "we," "our"). By creating an account or using our website, API, or email products (collectively, the "Service"), you agree to these Terms and to our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and that the organization accepts these Terms.
02The Service
RepoDigest connects to your Git repositories and project-management tools, generates weekly summaries of development activity, and delivers them via email to recipients you designate.
Summaries are produced by automated systems including machine-learning models. Output may contain errors, omissions, or mischaracterizations — you are responsible for reviewing anything before forwarding it externally or relying on it for decisions.
03Accounts
You must provide accurate account information and keep it current. You are responsible for activity under your account, including activity by anyone you invite. Notify us promptly at security@repodigest.com of any suspected unauthorized use.
04Changes to Terms & Pricing
We may update these Terms, our pricing, plan limits, and product features at any time, without prior notice. Examples include adjusting per-plan recipient limits, introducing new paid tiers, deprecating features, or modifying rate limits.
- For material changes that affect a paid subscription, we will make reasonable efforts to give at least 14 days' notice by email to the account owner before the change takes effect.
- For non-material changes (typo fixes, clarifications, new optional features), changes take effect upon posting.
- Price changes to an existing paid plan apply at the start of your next renewal cycle after the notice period.
- Your continued use of the Service after a change means you accept the updated Terms. If you don't, cancel your subscription before the change takes effect — that is your sole remedy.
05Subscriptions & billing
Paid plans are billed monthly or annually in advance through our payment processor. All fees are in US dollars and exclude applicable taxes.
Renewal & cancellation
Subscriptions auto-renew until cancelled. You may cancel from the Billing page at any time; cancellation takes effect at the end of the current billing period and you retain access until then.
Refunds
Fees are non-refundable except where required by law. We may, at our discretion, offer pro-rated refunds for extenuating circumstances — contact support@repodigest.com.
Failed payments
If a payment fails, we will retry for up to 7 days. After that, your account may be downgraded to the Free plan and workspaces exceeding Free-tier limits may be paused until payment is restored.
06Acceptable use
You agree not to, and not to allow others to:
- Use the Service to process repositories or data you don't have rights to.
- Attempt to reverse-engineer, scrape, or extract our ML prompts, system architecture, or training data.
- Send digest recipients unsolicited commercial email, harass recipients, or spoof sender identities.
- Use the Service to generate content that infringes IP, violates privacy law, or is illegal.
- Interfere with the Service or the use of it by others (DDoS, resource exhaustion, etc.).
- Resell the Service or white-label it for third parties outside the Agency plan.
07Third-party integrations
The Service integrates with third-party tools (GitHub, GitLab, Jira, email providers, etc.). Your use of those tools is subject to their own terms. We are not responsible for third-party availability, data loss on their side, or changes to their APIs that affect the Service.
08Your data
You retain all rights to the repository metadata, commits, and issue content you connect to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to operate the Service on your behalf.
We do not sell Customer Data and do not use Customer Data to train foundation models. See the Privacy Policy for details on storage, retention, and sub-processors.
09Intellectual property
The Service, including the software, website, documentation, and brand, is owned by RepoDigest and protected by IP laws. Nothing in these Terms transfers ownership of our IP to you. You may use our name and logo to indicate that you are a customer; you may not use them in a way that implies endorsement.
10Termination
You may terminate your account at any time from Settings or by emailing support@repodigest.com.
We may suspend or terminate your access with or without notice if you breach these Terms, if we are required to by law, or if we discontinue the Service. On termination, we will delete Customer Data per our retention schedule (see Privacy Policy).
11Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DIGEST OUTPUT IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.
12Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPODIGEST'S AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
13Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Wilmington, Delaware, and both parties consent to personal jurisdiction there.
